Kent Natural Foods Co-op board meeting 5/20/18
In attendance: maryjayne, jeff, john, barb, anita. elizabeth, ben, fred
A reminder that the KNFC annual meeting is scheduled for Sunday, June 24th at Fred Fuller Park pavillion #2.
Past minutes approved.
Treasurer’s April report: 2.79% sales growth, $ 232 loss – cash reserves are up slightly. We are moving in the right direction. CBD oil is a big seller.
Outreach: Scotty flyered the student center at Kent State.
Staff: No meeting in last month.
Personnel: Committee has been asked to hire to fill Shane and Armando’s shifts, including multiple weekend shifts and Thursday backstocking hours.
Fred and John did some phone interviews with Chanin, Mui and Eric. They were all qualified. Chanin works at Payless Shoes, knows POS and customer service. Eric works at the Howe Meadow farmer’s market. Mui is a graduate student at Kent State.
Ben interviewed Mui, Ella and Sydney. Mui told him she wouldn’t have time to come in for an interview. Sydney is qualified with retail experience.
After some discussion, the board voted to continue inquiries with Eric, Chanin and Sydney. Ben will call them and inquire about their availability for the open shifts. Employees are hired with a 90-day probationary period.
Facilities: Concrete slab for recycling will be poured after preparation is complete. Other tasks include: Painting the exterior door, caulking, and replacing the kitchen ceiling which is missing panels.
Website: Pleasea update to reflect the 2% discount for each work hour during the month.
New business: We need a better bell at the counter, would be nice to have an intercom on the phone.
Maryjayne would like to create a co-op member garden tour.
Sheila has asked us to look at employee behavior – are employees chronically late? Are they talking instead of backstocking? Are they closing properly? Fred will write up an expectations sheet, and clear it with personnel.
Annual meeting items:  Meet the new Staff, Board nominations, state-of-the-coop report.

Draft General Meeting Minutes from June 24th 2018

KNFC Annual Meeting of the Membership – Sunday, June 24, 2018
In attendance: Dontty Lakinando, Charlie Brandes, Jere Sitko, Darrin Bowers, Sam Brandon, Fred Pierre, Maryjayne Stone, John Gargan, Wanna Kunsun, Nancy Grim, Rick Feinberg, Elizabeth Ryan, Barb Withee, Aurelia Stone, Sheila Harko, Eric Cucuz, Becca Zak, Tom Riddle, Anita Gontkovsky, Jeff Ingram.
Previous meeting minutes motioned and approved.
Agenda addition motioned and approved: Discussion of Wal-Mart buying opportunities.
President Sam Brandon presents the State of the Co-op report: Slightly more than a year out from the renovations we are starting to see regular sales growth, with CBD products leading sales. GT Kombucha drinks, Hartzler milk and PB8 acidophilus remain strong profit makers. Sam praises the orderly board meetings, reports good communication at board meetings, even when dealing with contentious issues.
Treasurer John Gargan reports a 4.15% increase in last month’s sales over last May, consistent with a growth in sales of 4.2% in 2018 over the first five months of 2017. He mentions the renovations loan payment, which restricts cash flow, but predicts that sales growth can outpace that. John supports a living wage, but cautions that we can’t increase wages at this time due to the loan payment’s bite out of our cash flow. A continued sales growth will eventually build up cash that we can use for wages.
Nominations open for three open board positions: Meetings are the third Sunday of the month, there is a requirement to volunteer two hours per month in the store. The nominees are: Elizabeth Ryan, Becca Zak, Jere Sitko, Aurelia Stone, and Jeff Ingram.
Wal-Mart purchasing: If we can obtain a discounted case price from Wal-Mart that vastlt undercuts our natural food distributors, can we purchase productws, specifically Nature’s Path cereal, from Wal-Mart, wither online or in-store?
Our distributor’s wholesale price is higher than Wal-Mart’s retail price on these supersized cereal packets. Nancy inquires if we can go direct to the manufacturer for a better price. Maryjayne feels like if we buy from Wal-Mart, we will incur ill will from our loyal customers. Darrin and Charlie tell negative stories about Wal-Mart’s practices of undercutting prices and driving out mom and pop stores, as well as strong-arming manufacturers to obtain reduced pricing.
Motion to “Not purchase from Wal-Mart.” Seconded and approved. Nineteen votes for, none opposed, two abstentions.
Motion to “Ask Staff to find alternative sources for products we would buy at Wal-Mart.” Seconded and approved. Twenty votes for, none opposed, one abstention.
Adjournment proposed and seconded. Meeting adjourned by unanimous vote.

Special Meeting Minutes from July 26, 2015

KNFC Special Annual Meeting July 26, 2015

start time 7:06PM, end time: 8:06, mtg minutes recorded by Than H.

Attendees: Jeff Ingram, Rick Feinberg, Nancy Grim, John Gargan Jr, Sam Brandon, Amber Myers, Carys Bobbitt, Than Hedington, Jennifer Cline, Isaac Cline, Fred Maier, Carol Maier, Jess Taylor, Jared Taylor, Sheila Harko.

Courthouse is office space. Right now we are staying at current location, with a 20ft. Expansion out the back, with a basement beneath the expansion, flush with Dr Reeves. New entrace to be flush with the sidewalk. Funds amount to $110K for construction, and 40k for equipment. store will have to close for a few days, 5 to 7. Gravel leveling in the back.

Addition of a garden wall, south facing on the front (approx 4ft tall) for plants. Plans for the front will be converted to a cafe-like area are debated. City wants to put a supermarket downtown, and a “west side market” as a year-round space for the farmer’s market, near the pufferbelly, both of which could be a threat to the KNFC. However, the KNFC has been continually growing for several years. Because of lack of space, KNFC growth has diminished.

Better management ability would be good. Better co-operation is a wise course. Continue to develop the KNFC niche as a local, hometown, wellness, specialty store. Increased publishing and advertising is currently working.

We have joined the chamber of commerce, which has helped give us opportunities, especially with the newspaper and other medias.

Jeff proposes the plan of expansion with an amendment that a basement be present if the cost is not prohibitive. The basement would be halfway dug by the time the foundation for the expansion would be built anyway.

OFFICIAL: Jeff Proposal “That The General Membership Approves The Architectural Plan That Has Been Presented By TANYA LIPTON For The One Floor Expansion, with the proviso that we add a basement under the expansion as long as the board finds that is fiscally responsible.” Fred M. seconds the motion

Motion passes unanimously!
